Any dispute arising out of the interpretation and performance of this Agreement shall be first settled through friendly consultation between the Parties. If the Parties fail to reach a solution through friendly consultation, either Party can bring the dispute to the Shanghai International Economic and Trade Arbitration Commission for arbitration in Shanghai. 因本协议的解释和履行而发生的任何争议，双方应首先通过友好协商解决。如果双方未能通过友好协商解决，任何一方可将此争议提交上海国际经济贸易仲裁委员会在上海进行仲裁。
This Agreement shall be governed by the laws of the People’s Republic of China. 本协议受中国法律管辖，本协议未尽事宜应以中华人民共和国法律规定为准。
The invalidity or unenforceability of any provision of this Agreement shall not affect the validity of any other provisions of this Agreement. 本协议项下任何条款的无效或不可执行均不应影响本协议其他条款的效力。
This Agreement is executed both English and Chinese languages. In the event of any discrepancy, the English version shall prevail. 本协议以中文和英文书就，内容如有不一致的，应以英文文本为准。
This Agreement shall become effective once both Parties have executed and/or chopped on this Agreement.
